Career:

Sutinee Chongkriengkrai now works as a senior associate at Bangkok Global Law Offices, starting from November 2023. Before that, she was an associate lawyer at the Bangkok Global Law Offices between 2018 to 2021 and worked for a large multinational company as compliance manager during year of 2022 to 2023. She started working in a legal field since 2015.

She has expertise in various areas of legal practice such as Corporate and Commercial Law, Merger and Acquisition, Investment Law, Digital Law, and Litigation. Currently, she is a qualified as lawyer and notarial service attorney in Thailand.

Experience:

In relation to her mentioned legal practice areas i.e. Corporate and Commercial, Merger and Acquisition, Investment Law, Digital Law, Labour Law and Litigation, she provides wide range of legal services including:

• Providing legal advices in all aspects concerning corporate matters to Thai and foreign-owned companies. These legal advices include companies’ incorporation, planning of shareholding structure and controlling power of stakeholders, restructuring companies, investment law covering businesses promoted by the Board of Investment (BOI) and the Industrial Estate Authority of Thailand (IEAT), foreign business law, and other civil law matters.
• Providing all necessary corporate documents required by law and submitting the documents to the relevant authorities of Thailand, such as, registration of corporate documents with the Department of Business Development (the DBD); VAT registration with the Revenue Department (the RD); and registration of social security funds with the Social Security Office (the SSO);
• Providing legal advices and prepared necessary documents in perspective of labour law, personal data protection law, real estate law and general commercial-related law;
• Drafting and reviewing agreements related to corporate and commercial law i.e., international sale of goods, Share Purchase Agreement, O&M Agreement, Maintenance Agreement, Agreements on sale and purchase of Lands and Buildings, Management service agreement, Settlement Agreement, Software License Agreement, Non-Disclosure Agreement, Energy Performance Contract, Indemnification Agreement, Shareholders Agreement, Loan Agreement, Hire-purchase Agreement, Lease Agreement, Mortgage Agreement, Consultancy Agreement, Wholesale Agreement, Legal Compliance on MLM for Telecommunication business etc.;
• Providing legal due diligence on private company for mergers and acquisition between private companies and/or mergers and acquisitions between subsidiaries of foreign and Thai listed company and private companies. The business industries of target companies are varied i.e. electronic payment facilitating service, trade of electronics devices and accessories, and food;
• Reviewing all evidences and designed legal strategies for lawsuits concerning corporate and commercial law covering customs disputes to the Court of Thailand, from the Court of First instance to the Supreme Court. Also, prepared pleadings, injunctive measures, and other necessity document for court procedures as well as proceeded in the court proceedings;
• Providing legal articles regarding electronic transaction, e-commerce, operating payment services business covering anti-money laundering, personal data protection;
• Monitoring the legal changes and planning and implementing annual compliance plan for the related legal programs including risk assessment, control testing, compliance review and creating awareness activities for organizations; and
• Contributed to an international leading publication, Doing Business Project 2020’ by the World Bank on the Enforcing Contract in Thailand.
